This Provider Agreement (“Agreement”) applies to anyone who lists or delivers services as a provider (“Provider,” “you”) on the402, operated by Tolomato Capital, LLC. It supplements our Terms of Service; capitalized terms not defined here have the meaning given there. By listing a service, you agree to this Agreement.
You must be at least 18 years old to operate a Provider account. The account holder agrees to this Agreement and the Terms of Service, owns or controls the payout wallet, and is responsible for all tax and reporting obligations. By onboarding you represent that you meet these requirements.
You are solely responsible for the services you list and deliver. You agree to: describe your services accurately, including price, scope, and delivery time; deliver purchased services as described and within the stated timeframe; communicate with Agents in good faith; and only offer services you are lawfully able to provide. You — not the402 — are the party contracting with the Agent for the service. Purchases and communications may be initiated autonomously by AI agents acting on behalf of users; you agree to transact with automated Agents on the same terms as any other buyer.
the402 charges a platform fee of 5% on each transaction. The fee is embedded in the price the Agent pays; you receive the remaining 95% (the “Net Amount”) for completed, released transactions. For example, a service you list at $100 is shown to Agents at $105, and you receive $100.
Payments for applicable service types are held in an on-chain escrow contract and released to your payout wallet upon the Agent's delivery confirmation, or automatically after the applicable verification window (for example, 48 hours for human services). Payouts are made in USDC on the Base network. You are responsible for providing and controlling a valid payout wallet; blockchain payouts are irreversible, and the402 is not responsible for funds sent to a wallet address you provided. Until a valid payout wallet is associated with your account, your services may be staged inactive and unavailable for purchase.
You are solely responsible for determining, collecting, reporting, and remitting any taxes arising from your sales through the402. the402 does not withhold taxes on your behalf and does not provide tax advice.
You may not list or deliver services that are illegal, fraudulent, deceptive, infringing, or otherwise prohibited under the Terms of Service. You may not manipulate reputation, reviews, or the referral program, circumvent platform fees or escrow, or engage in self-dealing or sybil activity. We may remove listings that violate these rules.
If your services use webhook-based dispatch, you are responsible for maintaining a reachable, secure webhook endpoint and for verifying the HMAC-SHA256 signature on incoming payloads using your webhook secret. We monitor service health and may run automated quality checks. Services that repeatedly fail health checks or delivery may be automatically deactivated and reactivated upon recovery.
Agents may dispute a delivery. We may, at our discretion and consistent with the escrow terms, arbitrate disputes, release or refund escrowed funds, or reverse a transaction. You agree to cooperate in good faith with dispute resolution and to honor reasonable refund outcomes.
We may deactivate listings, suspend, or remove your Provider account if you violate this Agreement or the Terms of Service, fail compliance screening, or to protect the platform and its users. Removed participants may be permanently blocked from re-registering with the same wallet.
You represent that you have the right and ability to provide the services you list and that your services and conduct comply with applicable law. To the maximum extent permitted by law, the402 and Tolomato Capital, LLC disclaim liability for your services and for any dispute between you and an Agent, and the limitation of liability in the Terms of Service applies to this Agreement. You agree to indemnify and hold harmless the402 and Tolomato Capital, LLC from claims arising out of your services, listings, or violation of this Agreement.
This Agreement is governed by the laws of the State of Florida, USA, and the dispute-resolution and governing-law provisions of the Terms of Service apply.
